Terms of Service

1. Definitions

“We/Us/PixelKraf” means the provider identified in the company block. “You/Client” means the person or entity that accepts these Terms. “Services” means the design, development, copywriting, configuration, and related work set out in our Quote/Proposal/Scope. “Deliverables” means the files, assets, and configurations produced under the Services. “Third-Party Services” means platforms or tools such as Vercel (hosting), Sanity (CMS), Google Analytics (analytics), Figma (design), OpenAI/ChatGPT (AI-assisted copy), and other reasonable tools we may use.

2. Acceptance & Entire Agreement

By signing our Quote/Proposal, paying any invoice, or instructing us to commence work, you accept these Terms. These Terms together with the Quote/Proposal, Statement of Work, and any addenda (collectively, the “Agreement”) constitute the entire agreement and supersede prior discussions.

3. Services, Scope & Changes

The Services are limited to what is stated in the Quote/Proposal (e.g., “Starter Landing Page” or “Business Website” inclusions). Requests beyond scope will be quoted separately or billed at our then-current day/hour rate; we will obtain your written approval before proceeding. You will review drafts and provide approvals within a reasonable time (typically 2–3 business days). Timely content (text, images, logos) and access are required to meet timelines.

4. Timeline & Delivery

We commonly target ~7 days from content readiness for a landing-page build; actual dates will be confirmed in the Quote/Proposal. Delivery is complete when the site is deployed and functional on your domain/subdomain or when we hand over final files/access if you host elsewhere. You have 7 calendar days post-delivery to flag material defects that deviate from the approved scope/design; we will remedy reasonable defects. Thereafter, changes are treated as new requests.

5. Pricing, Taxes & Payment Terms

Fees are as stated in the Quote/Proposal plus any approved add-ons. SST is not applicable at this time; if this changes, invoices will reflect applicable taxes. A 50% deposit is required to commence work; the remaining 50% is payable after work is completed (prior to final handover/go-live). We may suspend work or delivery for non-payment; no late-fee policy currently applies. If a booking fee is charged, it is non-refundable. The 50% deposit is refundable only before work starts; once work has started, deposits are non-refundable. If you cancel after work starts, you will pay for work performed to date.

6. Client Responsibilities

You warrant that you own or have licenses for all content you provide and that it is legal and accurate. You are responsible for your business’s legal/regulatory compliance (e.g., health claims, pricing, promotions, PDPA notices to your end-users). You will provide timely access to accounts (domain registrar, DNS, email, analytics, etc.).

7. Third-Party Services & Platform Terms

We may configure and rely on providers such as Vercel (hosting), Sanity (CMS), Google Analytics (analytics), Figma (design), OpenAI/ChatGPT (AI-assisted copy), and any other reasonable tools needed to achieve project objectives. Accounts & ownership: Client-owned by default. Wherever feasible, the Client will own the production accounts and billing with these providers. If we provision temporary accounts during the project, we will transfer ownership or equivalent access to the Client at hand-off. The Client is responsible for ongoing subscription fees and compliance with provider terms. Uptime, performance, and features of Third-Party Services are governed by those providers’ SLAs/policies; we do not control them and are not liable for their outages or changes.

8. Intellectual Property & License

Your pre-existing content (text, images, trademarks) remains yours. Our pre-existing code, templates, components, scripts, and design systems remain ours. We may use open-source components subject to their licenses. Upon full payment, we grant you a worldwide, non-exclusive, perpetual license to use, display, and operate the Deliverables for your business. This license excludes our underlying generic libraries and design systems, which we may reuse. Unless you opt out in writing, we may display the work (screenshots/logos) in our portfolio and client list. Footer credit: shown by default on the Starter Landing Page package; omitted (white-label) on the Business Website package at no extra charge.

9. Support

Support is available via WhatsApp and email during 10:00–18:00 MYT on business days. Scope: reasonable assistance with launch issues, configuration clarifications, and minor defects within 7 days post-delivery (see Section 4). New features, redesigns, and content work are quoted separately. Service levels: see Service Levels Appendix for target response times by severity. Maintenance window: typically 10:00–18:00 MYT; we will notify you of any significant impact in advance where feasible. Priority handling may be given to clients under active monthly care plans (if any).

10. Data Protection & Privacy (PDPA 2010)

For end-user personal data you collect via the website, you are the data user/controller. We act as a data processor for any processing we perform on your behalf. You are responsible for providing privacy notices, obtaining consents, and honoring data subject rights under PDPA and relevant laws. Your Privacy Notice URL is https://www.pixelkraf.com/privacy-policy. We will implement reasonable technical and organizational measures to protect personal data we process for you, access it only to provide the Services, and assist with reasonable requests (charges may apply). We may use reputable sub-processors (e.g., hosting, CMS, analytics, email). You acknowledge and consent that data may be stored or processed outside Malaysia depending on provider infrastructure. If we become aware of a breach affecting your data in our control, we will notify you without undue delay and cooperate as reasonably required.

11. Warranties & Disclaimers

We will perform the Services with reasonable care and skill consistent with industry practice. We do not guarantee specific business outcomes (e.g., sales, rankings), uninterrupted service, or error-free software. SEO/analytics results vary. Any experimental/beta or AI-assisted features are provided “as-is”; you are responsible for reviewing AI-generated copy before publishing.

12. Limitation of Liability

To the maximum extent permitted by law, our total liability arising out of or related to this Agreement will not exceed the amount you paid to us for the Services giving rise to the claim in the 3 months preceding the claim. In no event are we liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, revenue, data, or goodwill), even if advised of the possibility.

13. Indemnity

You will indemnify and hold us harmless against claims, damages, and costs arising from (a) content you provide; (b) your misuse of the Deliverables; (c) your breach of laws or this Agreement; or (d) claims by your end-users.

14. Termination & Suspension

Either party may terminate for convenience before work starts. Either party may terminate for material breach not cured within 7 days of written notice. We may suspend work or access for non-payment or security risks. On termination, you will pay for work performed to date. Licenses to Deliverables are granted upon full payment.

15. Marketing Reference

You grant us permission to list your business name and logo as a client (website and sales materials) unless you opt out in writing.

16. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control (e.g., outages, cyberattacks, regulatory actions, pandemics, natural disasters).

17. Notices

Formal notices must be sent by email to the addresses set out in the company block (or later notified) and are deemed received on business days when delivery is confirmed.

18. Changes to these Terms

We may update these Terms at any time without prior client approval to reflect new features, legal/compliance reasons, or clarity. The current Terms are posted on our website and supersede prior versions. For material changes affecting active clients, we will provide reasonable notice (e.g., email). Continued use of our Services after changes are posted constitutes acceptance.
